Please review these terms and conditions carefully before registering, installing, accessing, or using our websites, apps, or services.

This document states the terms and conditions (“Terms”) upon which company-name, Cyprus company registration Number HE409180 of company-address, Cyprus (“Plasma Messenger”, “we” or “us”) will provide service to you through its websites and apps, including, without limitation our mobile, tablet and other smart device applications, and application program interfaces named Plasma Messenger (the “App”). These Terms constitute a contractual agreement between you and us. By visiting, registering, installing, accessing, or using (collectively “using”) our websites, apps or services, you express your understanding and acceptance of these Terms. As used in this document, the terms “you” or “your” refers to you, any entity you represent, your or its representatives, successors, assigns and affiliates, and any of your or their devices. If you do not agree to be bound by these Terms, please delete your Plasma Messenger account and stop accessing or using our Services (as defined below).

Our Services

company-name uses state-of-the-art security and end-to end encryption to provide private messaging, and other services to users worldwide, as described below (collectively, “Services”):

Connecting and communicating with other users. We provide ways for users to connect and communicate between them via messages, texts, sending images and video. We work with partners, service providers and affiliated companies to help us provide ways for you to connect with their services. We use the information we receive from them to help operate, provide and improve our Services.

Connecting and communicating with businesses. We provide ways for you and third parties such as business to connect and communicate with each other using Plasma Messenger, such as (including, but not limited to) through customer support, order or transaction information, marketing, delivery and shipping notifications, product and service updates.

Safety and Security. We strive to provide a safe and secure environment for our Plasma Messenger users and have automated systems in place to ensure the safety and security of our Services. We expressly prohibit abusive behaviour, misuse of our Services, violations of our Terms and policies, and harmful conduct towards other users. If such actions come to our attention, we will take all appropriate measures, including but not limited to, disabling or terminating Plasma Messenger user accounts, banning users from using our Services, and file reports of such actions to law enforcement authorities.

Worldwide access to our Services. We store and distribute information and content in data centres owned or operated by our services providers in different countries, that may or may not include your country of residence. Such storage and distribution is necessary in order to provide our Services on a global basis.

Improvement of our Services. In order to constantly improve and provide our users and businesses with better Services, we analyse and measure how our Services are being used by our users and businesses. We work with our partners, service providers and affiliate companies in order to analyse and measure such use.

About our Services

Minimum Age. Our Services are not intended for children under the age of 13. Therefore, we do not knowingly collect personal information via our websites, applications, services, or tools from anyone under 13. The App is accessible only through the QR codes available through affiliates, partners and contractors. The responsibility for verifying the age and imposing age restrictions to specific channels available through a specific QR code lays with the organization responsible for issuing the QR code connected to that channel. For residents of the EEA, where the processing of personal information is based on consent, users between 13 and 16 years old of age should use Plasma Messenger only subject to parental consent. By continuing using the App, Plasma Messenger assume that the necessary consents by the guardians/parents have been provided. If we learn that we are engaged in that processing with such users without the parental consent, we will halt such processing and will take reasonable measures to promptly remove applicable information from our records.

Account Registration. To create a Plasma Messenger account, we do not need request your mobile phone number or email address to register for our Services. You only simply need to download and install our App on your device and scan the QR code provided by our affiliate, partner, contractor or any other user.

Software. In order to use our Services, enable new features to our Services and enhance their functionality, you consent to downloading and installing updates (manually or automatically) to our Services, as well as to receive notifications via Plasma Messenger necessary for the provision of the Services.

Fees and Taxes. You are solely responsible for all data and mobile carrier fees, internet connection fees, and all fees and taxes associated with the devices on which you use our Services.

Privacy Of User Data. We do not sell, rent or monetize your personal data or content in any way. Plasma Messenger messages, texts, sending images and video cannot be accessed by us or by other third parties because they have end-to-end encryption to ensure their security and privacy. We are committed to protecting your privacy and handling your personal data in an open and transparent manner. Our Privacy Policy describes how we use, share, transfer and safeguard the information we receive and collect from you when using our Services, and your rights in relation to such personal information and sets out the legal bases for our processing of your personal information.

No Access To Emergency Services. Our Services do not provide access to emergency service providers, such as the police, hospitals, fire departments, or any other public safety organisations. It is your responsibility to make sure you can contact such emergency service providers through a mobile phone, landline, fax, or any other service.

Acceptable Use Policy

Our Terms and Policies. You must use our Services only in accordance with our Terms and policies, as they apply from time to time. Violation or breach of our Terms and polices may result in disabling or terminating your account. If we terminate your account for violation of our Terms and policies, you are expressly prohibited from creating another account without our prior written permission.

Legal And Acceptable Use. You agree to access and use our Services only for legal, authorised and acceptable purposes. You will not use (or assist and/or enable others in using) our Services in ways that: (a) violate, misappropriate or infringe the rights of Plasma Messenger, our users, or others, including but not limited to, privacy, publicity, intellectual property, or other proprietary rights; (b) are violating the law in any way, are illegal, obscene, threatening, intimidating, harassing, racially or ethnically offensive, fraudulent, defamatory, or misleading or instigate or encourage others to engage in conduct that would be illegal or otherwise inappropriate or promoting or advocating crimes of any nature and hate speech; (c) involve sending illegal or impermissible communications, such as (but not limited to) bulk messaging, auto-messaging, and other similar communications; (d) involve publishing falsehoods, misrepresentations, or misleading statements; (e) involve any non-personal use of our Services unless such use has been expressly authorised by us; (f) impersonate someone (whether natural or legal person); (g) send, store, publish or share materials that are unlawful, libellous, defamatory, obscene, unlawfully indecent, or that contain extreme acts of violence or terrorist activity, including terror propaganda or contain spam, viruses or harmful code;

Harm to Plasma Messenger Or Our Users. You must not (or assist and/or enable others to) directly, or indirectly, through automated or other means access, use, modify, distribute, copy, transfer, license, sublicense, display, perform or otherwise exploit our Services in unauthorized manners, or in ways that harm or impair Plasma Messenger, our Services, systems, our users or other third parties, including but not limited to: (a) reverse engineer, alter, create derivative forms of, extract code, decompile or modify any encrypted or encoded portion of the Services, or any component thereof, or attempt or assist anyone else to do so; (b) remove or alter any copyright, trademark or proprietary notice in the Services; (c) sell, resell, charge, rent, lease, distribute, market, commercialise or otherwise transfer rights or usage to the Services or any modified version or derivative work of the Services, in an unauthorized manner; (d) harass or abuse Plasma Messenger personnel or representatives or agents performing services on behalf of Plasma Messenger; interfere with or disrupt any user, host, or network, the safety, security and performance of our Services for example by sending, storing or transmitting viruses or other harmful computer code through or onto our Services, overloading, flooding, spamming, or mail-bombing any part of the Services; (f) breach or otherwise circumvent any security or authentication measures; (h) gain or try to gain unauthorised access to our Services or systems; (i) probe, scan, or test the vulnerability of any system or network; (j) send altered, deceptive or false source-identifying information, including “spoofing” or “phishing”; (k) access, search or create accounts for our Services through unauthorised or automated means or by any means other than Plasma Messenger ’s publicly supported interfaces (for example, “scraping” or creating accounts in bulk); (l) collect information about our users in any unauthorised manner; (m) copy any ideas, features, functions or graphics of the Services, create software or APIs that function and operate in a manner that is substantially the same as our Services and offer them for use by third parties in unauthorised manner or for any purpose other than what is expressly authorised and permitted in these Terms Agreement; or (i) distribute or make our Services available over a network where they could be used by multiple devices at the same time, except as authorised by us in a manner approved by us.

Keeping Your Account Secure. You are solely responsible for the security and safety of your device and Plasma Messenger account. If you have or experiencing or suspect unauthorised use or security breach of your account, or you have lost your device, you must notify us immediately.

Third Party Services

Our Services may allow you to access, use, or interact with third-party websites, apps, content, products or services (collectively “Third-Party Services”). When you access, use or interact with such third-party services, their terms and conditions and policies (including their privacy policies) will govern your use of such Third-Party Services. Our Terms and Privacy Policy only apply when you use our Services, and not when you use the Third-Party Services.

Rights and Licenses

Your rights. Plasma Messenger does not claim any ownership rights of any kind of the information and material you submit for your Plasma Messenger account or through our Services. If you do not have ownership rights on the information and material you submit for your Plasma Messenger or through our Services, you must have all necessary rights, licenses and authorizations to such information and material. You must also have the right to grant the rights and licenses in our Terms.

Plasma Messenger’s Rights. We own all Intellectual Property Rights, domains, logos and any other proprietary right associated with our Services. You may not use our Intellectual Property Rights, domains, logos or any other proprietary rights without our prior, express and written limited authorization.

Your License To Plasma Messenger. You grant to Plasma Messenger a royalty-free, worldwide, transferable, sublicensable licence to use, distribute, reproduce, creative derivative works of, display and perform the information (including the content) that you upload, submit, store, send or receive on or through our Services. You grant to us only the limited rights necessary that are reasonably necessary for us to operate, provide and deliver the Services (for example, to display your avatar and name, transmit your messages, store your undelivered messages on our servers for up to 30 days as we try to deliver them, in accordance with our Privacy Notice. This limited permission also extends to Subcontractors or Sub-processors of Plasma Messenger.

Reservation of Rights. Except as expressly set forth herein, these Terms do not grant user any Intellectual Property Rights in the Services, Website, App or Plasma Messenger trademarks and brand features or Plasma Messenger software and features. These Terms do not convey or transfer to the user and/or its Affiliates any ownership rights in the Plasma Messenger Intellectual Property Rights in the Services, Website, App, or Plasma Messenger’s software and features. Plasma Messenger reserves all rights, title and interest in and to the Services, Website, App, its software and features.

Plasma Messenger’s License to You. Plasma Messenger grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to enable you to use our Services in accordance with these Terms. No licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted by you.

Suggestions. We welcome and encourage you to provide feedback, comments and suggestions for improvements to our Website, App and Services (“Feedback”). You may submit Feedback by emailing us at or by other means of communication available via the Website or the App. Any Feedback you submit to us may be used by us for any business purpose and will be considered non-confidential and non-proprietary to you. Plasma Messenger shall have a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use, copy, modify or distribute, including by incorporating into the Services any suggestions, enhancement requests, recommendations or other feedback provided by you relating to the Services, without any obligation to compensate you for them.

Copyright, Trademark, Or Other Intellectual Property Infringement Report. Plasma Messenger is committed to help its users and businesses to protect their intellectual property rights. We respect copyright law and we expect our users to do the same. If you would like to report copyright, trademark, or other intellectual property infringement or you believe that any content on the Services infringes copyrights, trademarks or other intellectual properties you own, please notify us by sending us an email at .

Disclaimers

WE TAKE REASONABLE MEASURES AND METHODS TO PROVIDE OUR SERVICES TO YOU IN A SAFE, SECURE AND ERROR-FREE ENVIRONMENT, HOWEVER, WE CANNOT GUARANTEE THAT PLASMA MESSENGER WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS, ERRORS OR IMPERFECTIONS. PLASMA MESSENGER’S SERVICES MAY BE SUBJECT TO LIMITATIONS OR ISSUES INHERENT IN THE USE OF THE INTERNET AND PLASMA MESSENGER IS NOT RESPONSIBLE FOR ANY PROBLEMS OR OTHER DAMAGE RESULTING FROM SUCH LIMITATIONS OR ISSUES. YOU USE OUR SERVICES AT YOUR OWN RISK AND SUBJECT TO THE FOLLOWING DISCLAIMERS. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED TO YOU STRICTLY ON AN “AS IS” BASIS. Limitation of Liability

PLASMA MESSENGER AGGREGATE LIABILITY RELATING TO, ARISING OUT OF, OR IN ANY WAY IN CONNECTION WITH OUR TERMS, US, OR OUR SERVICES IS LIMITED TO THE TYPICALLY OCCURRING FORESEEABLE DAMAGES (EXCEPT IN RELATION TO DEATH, PERSONAL INJURY, FRAUDULENT MISREPRESENTATION OR WILLFUL MISCONDUCT) AND IN NO EVENT SHALL PLASMA MESSENGER PARTIES’ LIABILITY RELATING TO, ARISING OUT OF, OR IN ANY WAY IN CONNECTION WITH OUR TERMS, US, OR OUR SERVICES EXCEED IN THE AGGREGATE THE TOTAL AMOUNT PAID BY YOU TO PLASMA MESSENGER UNDER THESE TERMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE ACT OR OMISSION GIVING RISE TO THE LIABILITY. ANY ADDITIONAL LIABILITY OF PLASMA MESSENGER PARTIES IS EXCLUDED. IN NO EVENT SHALL PLASMA MESSENGER PARTIES BE LIABLE FOR (I) ANY INDIRECT, SPECIAL, COVER, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF USE, DATA, BUSINESS, PROFITS OR REVENUES (IN EACH CASE WHETER DIRECT OR INDIRECT) REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT (INCLUDING NEGLIGENCE OR OTHERWISE), ARISING UNDER THESE TERMS, US, OR OUR SERVICES AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EVEN IF THE PARTY KNEW OR SHOULD HAVE KNOWN THAT SUCH DAMAGES WERE POSSIBLE AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE FOREGOING DISCLAIMER OF CERTAIN DAMAGES AND LIMITATION OF LIABILITY WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW. YOUR RIGHTS WITH RESPECT TO PLASMA MESSENGER ARE NOT MODIFIED BY THE FOREGOING LIMITATION IF THE LAWS OF YOUR COUNTRY OF RESIDENCE, APPLICABLE AS A RESULT OF YOUR USE OF OUR SERVICES, DO NOT PERMIT IT.

Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Plasma Messenger’s option), indemnify, and hold the Plasma Messenger Parties, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Terms or our Policies, (ii) your access to or use of the Website, App or any of our Services, including information provided in connection therewith (iii) your interaction with any user, business, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, (iv) your breach of any applicable laws, regulations or third party rights, or (e) any misrepresentation made by you. The indemnification obligation according to this paragraph only applies if and to the extent that the claims, liabilities, damages, losses, and expenses have been adequately caused by your culpable breach of a contractual obligation.

Availability of Our Services

Availability of Our Services. We always strive to constantly improve our Services. To do so, we may add or remove our Services, features, functionalities, and the support for certain platforms and devices. Our Services may be interrupted, including for maintenance, repairs, upgrades, or network or equipment failures. We may discontinue some or all Services, including certain features and the support for certain devices and platforms, at any time. We shall provide you 30 days’ notice prior to such actions become effective, where possible.

Events outside our control. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under an agreement/contract that is caused by events outside our reasonable control (hereinafter “Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) strikes, lock-outs or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, earthquake, subsidence or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; the decrees, legislation, regulations or restrictions of any government; and pandemic or epidemic. Our performance under any agreement or contract is deemed to be suspended for the period of the Force Majeure Event. After the end of the Force Majeure Event, term of the agreement will be extended by the period of the Force Majeure Event. We will use reasonable endeavours to bring the Force Majeure Event to an end or to find a solution by which the Plasma Messenger’s obligations under these Terms may be performed despite the Force Majeure Event.

Term and Termination, Suspension and other Measures

Term. These Terms shall be effective until such time when you or Plasma Messenger terminate the Terms in accordance with this Section.

Termination by You. You may terminate your relationship with Plasma Messenger for any reason by deleting your Plasma Messenger account from within the App and discontinuing the use of our Services. Deleting your account is an irreversible process, which we cannot revert even if you perform it by accident. Deleting your account will (a) delete your account and profile photo/avatar, (b) delete you from all Plasma Messenger groups, and (a) delete your Plasma Messenger message history on your phone.

Termination by Us, Suspension and other Measures. We may terminate, modify or suspend your access to or use of our Services and/or stop providing you access to the App, with or without notice, (a) if you have materially breached your obligations under these Terms and our Policies (b) if you have violated applicable laws, regulations or third party rights, (c) such action is necessary to protect the personal safety or property of Plasma Messenger, its users, or others (for example in the case of fraudulent behavior of a user), (d) if you have engaged in suspicious or unlawful conduct, including fraud, (e) if you create harm, risk, or possible legal exposure for us, our users, or others, (f) to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, (iii) you have provided inaccurate, fraudulent, outdated or incomplete information to us, our users or others while using our Services (iii) Plasma Messenger otherwise becomes aware of or has received complaints about your performance or conduct, or (vi) such action is necessary to prevent fraud or other illegal activity. When your Plasma Messenger account has been terminated, you are not entitled to a restoration of your Plasma Messenger account or its message history. If your access to or use of our Services has been limited or your Plasma Messenger account has been suspended or these Terms have been terminated by us, you may not register a new Plasma Messenger account or access and use our Services through a Plasma Messenger account of another user. Applicable Law and Jurisdiction

These Terms as well as the business cooperation per se are governed by and construed in accordance with the laws of Cyprus and the application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. The parties irrevocably agree that the courts of Cyprus have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

General Provisions

Plasma Messenger reserves the right to update, revise, amend and/or modify these Terms at any time in accordance with this provision. If we make changes to these Terms, we will post the revised Terms on the Website and App and update the “Last Modified” date at the top of these Terms. We may also provide you with notice of the modifications via in-App notification at least thirty (30) days before the date they become effective. Please note that we may not be able to provide such notice for changes to these Terms that are required to address technical evolution of our Services or for changes made for legal reasons, both of which will become effective immediately. If you disagree with the revised Terms, you may terminate your relationship with Plasma Messenger by deleting your Plasma Messenger account. We will inform you about your right to terminate your relationship with Plasma Messenger in the in-App notification. If you do not delete your Plasma Messenger account before the date the revised Terms become effective, your continued access to or use of the Services will constitute acceptance of the revised Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines or standards, these Terms constitute the entire agreement between Plasma Messenger and you pertaining to the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Plasma Messenger and you in relation to the access to and use of the Plasma Messenger Services. We reserve the right to designate in the future that certain of our Services are governed by separate terms (where, as applicable, you may separately consent). Our Services are not intended for distribution to or use in any country where such distribution or use would violate local law or would subject us to any regulations in another country. We reserve the right to limit our Services in any country. No joint venture, partnership, employment, or agency relationship exists between you and Plasma Messenger as a result of these Terms or your access and/or use of the Services. These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties. If any provision of these Terms is held to be unlawful, void, invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions of our Terms, and the remaining portion of our Terms will remain in full force and effect. Plasma Messenger’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law. You may not assign, transfer or delegate these Terms and your rights and obligations hereunder without Plasma Messenger's prior written consent. Plasma Messenger may without restriction assign, transfer or delegate these Terms and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice and are freely assignable by us to any of our affiliates or in connection with a merger, acquisition, restructuring, or sale of assets, or by operation of law or otherwise, and we may transfer your information to any of our affiliates, successor entities or new owner. Definitions

"Affiliate" means any entity that controls, is controlled by or is under common control with a company-name, where "control" means the ability to direct the management and policies of an entity. "EU Data Protection Laws" means, to the extent in force and applicable from time to time, those laws implementing the General Data Protection Regulation (EU) 2016/679 (GDPR) and any implementing laws in each European Union member state. "Intellectual Property Rights" means current and future worldwide rights under patent, copyright, trade secret, trademark, moral rights, and other similar rights. "Personal Data, "Process," and "Processing"" have the meaning given to those terms in the EU Data Protection Laws. "Subcontractor" means an entity to whom Plasma Messenger subcontracts any of its obligations under the Terms. "Sub-processor" means an entity who agrees to Process User Data on Plasma Messenger's behalf, or on behalf of another Plasma Messenger sub-processor, in order to deliver the Services. “App Marketplace” any digital distribution platform that the App will be available to the public to be downloaded.
